Terms and conditions of sale, delivery and payment<\/b>
\nOur offers and deliveries are subject to the following terms and conditions. Any deviating agreements must be made in writing and shall only be binding for us upon our express written confirmation. In the event of amendments to individual points of these terms and conditions, the remaining provisions shall remain in force. Verbal collateral agreements are invalid. <\/p>\n

1. offers and order<\/b>
\nOur offers are always subject to change, cost estimates are non-binding. The order shall not be deemed accepted until it has been confirmed by us in writing or has already been executed. By accepting our order confirmation or the delivery of goods without objection, the buyer acknowledges these terms and conditions. <\/p>\n

2. prices<\/b>
\nOur prices are ex works. Unless special shipping instructions are available, we choose the type and route of shipment ourselves. Packaging, postage, customs duties and insurance shall be borne by the buyer. Insurance will only be taken out at the express request of the buyer. Packaging will be charged at cost price and will not be taken back. We reserve the right to charge the prices and taxes applicable at the time of delivery or performance. <\/p>\n

3. delivery<\/b>
\nDelivery is ex works. The delivery period shall commence on the day of our acceptance of the order, but not before all details of the execution of the order have been clarified. Delivery times are only approximate. Claims due to late delivery are excluded unless we are at fault, which the buyer must prove. Operational disruptions of any kind affecting us and our suppliers and events of force majeure shall entitle us to extend the delivery time appropriately and, if the circumstances require it, to cancel the delivery obligations in whole or in part. Circumstances that make delivery unreasonably difficult or impossible for us through no fault of our own shall be deemed equivalent to force majeure. The risk shall in any case be transferred to the buyer when the goods are handed over to the forwarding agent or carrier, but at the latest when they leave our factory. <\/p>\n

4. terms of payment<\/b>
\nIf payment is made within 10 days of the invoice date, we grant a 2% discount. Otherwise, the invoice amount is to be paid within 30 days net without deductions. If the buyer is in default of payment, we shall be entitled to charge interest at the usual current account interest rate of commercial banks from the date of default. Offsetting is generally excluded unless the claims are legally enforceable or undisputed and recognized by us. A discount shall not be granted if there is a balance due in our favor at the time of payment. Payments shall be credited against the oldest debt. <\/p>\n

5. warranty<\/b>
\nMinor deviations in color, appearance and dimensions of the goods do not justify complaints. Notices of defects and complaints must be made in writing immediately, but no later than 10 days after arrival of the delivery at the place of destination. In the case of hidden defects, the statutory provisions shall apply. We provide a guarantee for defects attributable to material and manufacturing faults from the time of delivery until the legally prescribed period thereafter, but not for other defects. Complaints cannot be recognized if the buyer or third parties have carried out any work on the goods without our written consent. In the event of justified complaints and warranty claims, we shall be free to either make a replacement delivery at the prices valid at the time of the complaint or to carry out repairs. Rejected goods may only be returned with our approval and only at the expense and risk of the buyer. The notification of defects does not release the buyer from his obligation to pay. Other claims for defects and claims for compensation by the purchaser, in particular for ancillary costs and consequential damage, are excluded. <\/p>\n

6. reservation of title<\/b><\/p>\n

  1. The delivered goods remain the property of the seller until they have been paid for. However, the Buyer may sell or process the goods in the ordinary course of business. Any pledging or transfer by way of security of these goods in favor of third parties is excluded without the consent of the seller. In the event of seizure of these goods by third parties, the Buyer must notify the Seller immediately. <\/li>\n
  2. In the event of processing and final sale, the following supplement shall apply:\n
      \n
    1. The delivered goods remain the property of the seller until full payment of the seller’s claims against the buyer.<\/li>\n
    2. The Buyer’s authorization to process and sell goods subject to retention of title in the ordinary course of business shall end upon the Buyer’s suspension of payments or if insolvency proceedings or composition proceedings to avert insolvency are instituted against the Buyer’s assets. In this case, the Buyer shall be obliged to surrender the unprocessed goods subject to retention of title at the Seller’s first request. The Seller shall credit the Buyer with the proceeds from the best possible realization of the returned unprocessed goods subject to retention of title (\u00a7 254 BGB). A revocation or a demand for the return of the unprocessed reserved goods by the seller does not constitute a withdrawal from the purchase contract. <\/li>\n
    3. Pledging or transfer by way of security of the reserved goods or the assigned claims is not permitted.<\/li>\n
    4. By processing the reserved goods, the buyer does not acquire ownership of the new item in accordance with \u00a7 950 BGB. The processing is carried out by the buyer for the seller without the seller incurring any liabilities as a result. If the reserved goods are processed, the seller shall acquire co-ownership of the new item in the amount of the invoice value of the reserved goods that have been processed into the new item. <\/li>\n
    5. The Buyer hereby assigns to the Seller the claim arising from the resale of the goods subject to retention of title, including to the extent that the goods have been processed. The assignment is limited to the amount of the invoice value of the reserved goods that have been processed into the new item. <\/li>\n
    6. The seller shall not collect the assigned claims as long as the buyer meets his payment obligations. However, the buyer is obliged to inform the seller of the third-party debtors upon request and to notify them of the assignment. He is entitled to collect the claims himself as long as he fulfills his payment obligations and the seller does not instruct him otherwise. <\/li>\n
    7. The retention of title shall remain in force even if individual claims of the seller are included in a current account and the balance is drawn and recognized, unless the balance is settled.<\/li>\n
    8. The seller undertakes to release the securities to which he is entitled in accordance with the above provisions at his discretion to the extent that their value exceeds the claims to be secured by 10%, taking into account the value added by the buyer.<\/li>\n
    9. The seller must be informed immediately of any attachments, stating the name of the pledgee.<\/li>\n
    10. As soon as the buyer has suspended payments, and immediately after notification of the suspension of payments, the buyer is obliged to send the seller a list of the goods still subject to retention of title, even if they have been processed, and a list of the claims against the third-party debtors together with an invoice credit note.<\/li>\n<\/ol>\n<\/li>\n
    11. Should the seller enter into contingent liabilities in the interest of the buyer (payment by check\/bill of exchange), the extended and expanded retention of title shall remain in effect until the seller is fully released from these liabilities.<\/li>\n<\/ol>\n

      7. place of performance and jurisdiction<\/b>
      \nOur registered office in Denzlingen is agreed as the place of performance. The place of jurisdiction shall be the place where the courts with jurisdiction for us are located. We reserve the right to appeal to any other court permitted by law.
